Deal Terms is the first ever in-depth look at valuations, preferred stock, stock options and other variables that affect deal structure, written by Alex Wilmerding (a venture capitalist at Boston Capital Ventures and best selling author of Term Sheets & Valuations). Written from a venture capital perspective, however applicable for all types of financings, Deal Terms includes actual term sheets, valuation methodology and analysis, assessment of stock option programs and their impact on valuations and capital structures and other real world documents used by leading venture capitalists and lawyers analyzed from multiple perspectives. A must have book for any executive, entrepreneur, or financial professional, this timeless classic is an unprecedented resource that will help you avoid costly mistakes, understand various structures and terms, and understand wording and language from other deal sheets to help you get deals done.

According to Graham Anderson, General Partner at Euclid SR Partners, "Deal Terms provides critical, in-depth, first-hand perspective on the crucial terms and factors which influence financing decisions." Clifford Schorer, Entrepreneur in Residence, Columbia Business School remarks, "Deal Terms is an indispensable reference for entrepreneurs and finance professionals." And Andrew McKee, General Partner at Webster Capital notes, "Deal Terms is a really important resource."

Review :
Passable guide, but certainly not a reference book
A very brief and concise view of venture capital structures, but also somewhat basic in content. Examples could use more details (e.g., the sample weighted average anti-dilution calculations).
Disappointed that the author does not address more complicated security structures other than common and straight convertible preferred. Also, I was surprised given the recent publication date that there was not a comparison on how deal terms have changed from the dot-com boom and bust.
Certainly not a must have book for my bookshelf.
Sahlman's Entrepreneurial Venture is a much better "reference" book and cheaper too.

Very Disappointed
After enjoying his first book, Term Sheets and Valuations, I was looking forward to this one. I regret to say that I found it a big waste of time and a bigger waste of money.

It appears as if the marketing of the book by the pblisher sought to take advantage of his first book by raising the price by 500%, giving the impression that this book was better or more comprehensive. However, nothing could be further from the truth.

Direct to the Deal Terms
This book has a few sample drafts of term sheets and other legal documents. That is not the primary focus of this book. You can hire that kind of talent (legal drafting) on a per hour basis. This book helps the owners make the BUSINESS decisions necessary to avoid hamstring their new venture during this difficult passage. Included is information about what to pay your independent directors, advisory board members and senior management. Also included is what percentage of the company the founders should expect to keep, how to avoid excessive dilution during an unfortunate down round and how to present your opportunity to potential investors. All of these BUSINESS decisions are beyond the discretion of attorneys in this area, they typically instruct the entrepreneur to reflect upon the topic and then the attorney will draft it to suit.
Wilmerding interviews individuals that are representative of players an entrepreneur will encounter in getting his business funded. These real world...

The only book where it's almost as much fun to read about sex as it is to have sex. And it just keeps getting better.

Review :
A great "Sex Book" and a "Great Sex" book
Among the many lovely items I received from my Queen on Valentine's Day was this: "The Guide To Getting It On!" by Paul Joannides, published in 2000 by Goofy Foot Press. This is a huge 698-page oversized paperback book that covers just about every sex topic you can think of, with an especial emphasis on every aspect of The Deed itself. It's delightfully light-hearted and yet it's amazingly informative, discussing all sorts of topics in a frank, playful style that makes it a delight to read. Sample chapters in the book include:
Chapt. 9 - Sunsets, Orgasms, & Hand Grenades. Having an orgasm, the different types of orgasms a person can have (an orgasm in two-person sex usually doesn't feel like an orgasm from masturbation, for instance), faking orgasms, how it feels to different people.
Oral Sex - Chapt. 17 - Popsicles & Penises and Chapt. 18 - Vulvas & Honey Pots. Techniques on giving (and receiving) head, why different people don't taste the same, beard burn, using your...
Unflinching yet so accessible
When it comes to sex guides, there is no shortage. Many are written just to titillate the reader. Many are a guidebook to kink and assume that the reader already knows the basics for more straightforward sexual fun. Some ridiculously romanticize while others read like a medical school text.
Paul Joannides' "The Guide to Getting It On!" is the ideal sex guide. It deals with the basics as well as the more adventuresome stuff. It presents health issues with honest clarity, but is never frightening or clinical. It is a thick tome, but a remarkably fast read. Joannides is thorough, yet concise.
This is the best book on the market dealing with this subject matter. The advice for how to bring up children with healthy, age appropriate views about sex is invaluable. The only problem I have with this book is that I wish I'd written it myself.
Buy this book with confidence. If you are a sex guide hobbyist, you'll love it. If you are a complete novice to the topic you'll...
YAYYYYYYYYYYYYYY!!!!
The above is my response to this book. When I first started looking though it and reading some of what Paul Joannides has to say, I thought, "Right on!" And the more I read, the more I felt this way. Mr. Joannides deserves some kind of "Medal of Honor" for writing a comprehensive, non-judgmental and at times hip and irreverent look at the world of sexuality. He leaves virtually no topic uncovered. Dang, why wasn't a book like this around twenty years ago? I could have really used it back then! He also obviously put a great deal of effort and love into this book which spans almost 700 pages. Not only is it informative and humorous, but it gets its subject matter across in a down-to-earth and common-sense style. I also loved all the illustrations in the book....
This book in my humble opinion should be mandatory reading for every Human Sexuality class taught, it truly is that good. I lost count of all the various chapters in the book, but among them are [chapters on various types...

Review :
Well Worth The Read
This is a great book if you're looking to find ways of raising money for your real estate investments instead of going with traditional or "hard money" lenders. A very informative, quick read.

A must-read for real estate investors
Once again Susan knocks it out of the park! Very well written and an easy read. $ is the key to success in real estate, but it doesn't have to be your own money.

Other so-called gurus state, "if you find the deal, the money will appear." As if by magic it will conjure out of thin air! Rubbish.

Susan explains how to get the money *before* you get a deal. This gives you negotiating power. I highly recommend this book!

I loved this book!! It definitely provided great insight that would be considered valuable to investors of every level..
I loved this book!! It definitely provided great insight that would be considered valuable to investors of every level. I've been a full time real estate investor for over 10 years & found that I was still able to grab a few really good nuggets of information that I had not thought of. I can see how implementing just a few of these little strategies will increase my access to cash & ultimately allow me to make more money this year. Hard money lenders are just too damn expensive, and this book will show you how to go out and secure financing at around 4% (or less if you have the balls).

Comforting and intimate, this “girlfriend” guide to getting pregnant gets to the heart of all the emotional issues around having children—biological pressure, in-law pressures, greater social pressures—to support women who are considering getting pregnant.

Trying to get pregnant is enough to make any woman impatient. The Impatient Woman’s Guide to Getting Pregnant is a complete guide to the medical, psychological, social, and sexual aspects of getting pregnant, told in a funny, compassionate way, like talking to a good friend who’s been through it all. And in fact, Dr. Jean Twenge has been through it all—the mother of three young children, she started researching fertility when trying to conceive for the first time. A renowned sociologist and professor at San Diego State University, Dr. Twenge brought her research background to the huge amount of information—sometimes contradictory, frequently alarmist, and often discouraging— that she encountered online, from family and friends, and in books, and decided to go into the latest studies to find out the real story.

The good news is: There is a lot less to worry about than you’ve been led to believe. Dr. Twenge gets to the heart of the emotional issues around getting pregnant, including how to prepare mentally and physically when thinking about conceiving; how to talk about it with family, friends, and your partner; and how to handle the great sadness of a miscarriage. Also covered is how to know when you’re ovulating, when to have sex, timing your pregnancy, maximizing your chances of getting pregnant, how to tilt the odds toward having a boy or a girl, and the best prenatal diet.

Trying to conceive often involves an enormous amount of emotion, from anxiety and disappointment to hope and joy. With comfort, humor, and straightforward advice, The Impatient Woman’s Guide to Getting Pregnant is the bedside companion to help you through it.

Informative, practical and comforting: A must-read for every woman
This book is wonderful: not only an excellent read, it is informative, practical and comforting.

I am the impatient woman this book describes - although very philosophical, relaxed and healthy, I don't want to mess around with "seeing how things go". I have become very tired of reading material, both in books and on-line, which seems to perpetuate what I can only describe as false myths. There are next to no books of this kind written by academics who can pull together scientific facts to portray a real (and comforting) picture of how to get pregnant. The book debunks some very common myths by presenting facts from scientific studies in an easy-to-understand format.

I had just got to grips with OPKs and basal charts, when I got hold of this book. I have read and re-read it a number of times in my TTC journey. It's to-the-point, detailed, scientifically backed up and most of all, just comforting. I cannot reiterate how reassuring it is to read a book written...
Just okay
I'd recommend ordering the "Taking Charge of your Fertility" book over this one. I read the "Taking Charge" book when I was trying to get pregant with baby number one. I got pregnant after three months. When it took a little longer with baby number two and I had already re-read it, I ordered this book hoping it might have some other helpful tips for getting pregnant quickly. It refers to the "Taking Charge" book and provides other pretty basic tips that you could find online with a simple google search. Sorry... I just didn't find it that informative.

The only pre-pregnancy book I should have bought!
I hate to admit I bought at least a half dozen other books on pre-conception when my husband and I started thinking about starting a family. I am a real planner/researcher by nature and couldn't help myself from wanting to read everything ever written about pregnancy prep in the year or so before I was ready to actually start trying.

Well, let me save you some time and money: just get this book and read it cover to cover! That's all you need! If you're an over-achiever (or just like knowledge, like me) you should also get Taking Charge of Your Fertility by Toni Weschler, and then you'll really be armed with tons of information. I honestly think TCOYF should be standard issue to every girl on her 18th birthday--I aced high school anatomy and college biology, and dutifully went to yearly OB-GYN check-ups for twenty years, and yet I learned SO MUCH about my own body that was somehow new to me at age 35, just by reading TCOYF.

But, back to this book, The...
